Depending on the engagement, we may provide services including: architectural planning and design, international construction consultation, structural advisory, project management, site assessments, feasibility studies, 3D modeling, Building Information Modeling (BIM), interior design concepts, zoning analysis, and related consulting services. The specific scope, deliverables, timelines, pricing, and requirements of a project will be defined separately through a proposal, quotation, statement of work (SOW), service agreement, invoice, or other written communication.
3. Client Information and Site Details
You agree to provide accurate, complete, and timely information necessary for us to provide the requested services. This includes, but is not limited to, land documents, site surveys, soil test reports, and specific project requirements. You are responsible for ensuring that all information, materials, content, credentials, and documents supplied by you are accurate and that you have the legal right and authority to provide them to us.
4. Project Communications and Access
Where our services require access to client-provided systems, shared drives, client portals, or communication platforms, you are responsible for maintaining the confidentiality of access credentials and for activities carried out through them. You should notify us promptly if you believe any shared account or repository has been accessed without authorization.
5. Payments and Fees
You agree to pay the fees applicable to the services you purchase. Pricing, payment schedules, deposits, milestone-based billing, taxes (including applicable GST), and other commercial terms will be specified in the applicable proposal, quotation, invoice, or service agreement. For international projects, currency conversion and international banking fees shall be borne as agreed in the contract. Failure to make payments when due may result in the suspension or termination of services and withholding of deliverables.
6. Project Timelines
Project timelines depend on the agreed scope, timely client feedback, availability of required site information, statutory approvals, third-party services, and other project dependencies. Delays caused by incomplete information, delayed client approvals, changes in requirements, adverse site conditions, or circumstances outside our reasonable control may affect the delivery timeline, and we shall not be held liable for such delays.
7. Changes to Project Scope
Requests that materially change the agreed scope of work (e.g., additional design revisions, expanded site coverage, new regulatory compliance requirements) may require additional fees, revised timelines, or a separate written agreement (Change Order). We will communicate such changes and obtain your approval before carrying out additional work.
8. Intellectual Property
Unless otherwise agreed in writing:
- Hex & Square retains ownership of its pre-existing intellectual property, including standard design details, tools, processes, frameworks, templates, software components, methodologies, and know-how.
- Client-provided materials remain the property of the client or their respective owners.
- Ownership or licensing of final project deliverables (e.g., architectural drawings, reports) will be determined by the applicable service agreement. Typically, upon full payment, the client is granted a license to use the final deliverables solely for the specific project for which they were created.
- Payment for a service does not automatically transfer ownership of Hex & Square’s pre-existing intellectual property or grant the right to reuse our designs for other projects without explicit written permission.
9. Client Content and Warranties
You retain ownership of content and materials that you provide to us. You grant us the necessary permission to use such materials solely to the extent reasonably required to provide the agreed services. You warrant that you have the necessary rights, permissions, licenses, and legal authority (including land ownership or development rights) for all materials and site details you provide to us, and that such materials do not infringe upon any third-party rights.
10. Third-Party Services and Statutory Authorities
Our services may rely on third-party platforms, software (e.g., CAD/BIM software), hosting providers, external consultants (e.g., structural, MEP, landscape), and government or municipal authorities. We are not responsible for changes, outages, limitations, pricing, policies, delays, or failures caused by third-party providers or statutory bodies. Your use of third-party services may also be subject to their own terms and privacy policies.
11. Acceptable Use
You agree not to use our website or services: for unlawful purposes; to violate applicable laws or building regulations; to infringe intellectual property or other rights; to distribute malicious software; to attempt unauthorized access to our systems or accounts; to interfere with the operation or security of our services; to engage in fraudulent or deceptive activities; or for any purpose prohibited by these Terms.
